1. Definitions

• "Agreement" means these Terms and Conditions together with any scope document signed prior to a service engagement.
• "We / Us / Our" refers to Kithward, a family matters information and communication support business operating from 31 Jalan Molek 1/4, Taman Molek, 81100 Johor Bahru, Johor, Malaysia.
• "You / User" means any individual or household accessing this website or engaging our services.
• "Services" means the Neutral Agenda Session, Household Routines Workbook, and Family Documentation Programme described on our website, plus any related correspondence and deliverables.
• "Scope Document" means the written description of the specific service to be delivered, agreed in writing before any session begins.
• "Deliverables" means written records, workbooks, indexed registers, summary sheets, and practitioner directories produced as part of the Services.

2. Acceptance of Terms

By submitting an enquiry, accepting a scope document, or attending a session, you confirm that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are engaging on behalf of other family members, you confirm you have their agreement to proceed. These Terms become binding when you accept a scope document or proceed with a session following written confirmation from us.

3. Description of Services

Kithward provides three facilitation and documentation support offerings:

• Neutral Agenda Session (RM 435): A single facilitated ninety-minute meeting with a written agenda and written record.
• Household Routines Workbook (RM 1,150): A three-appointment process producing a written household routines document and a follow-up review call.
• Family Documentation Programme (RM 3,810): A ten-week programme producing an indexed document register, timeline, and professional summary sheet.

Services are delivered primarily in person at our Johor Bahru premises. Video call delivery may be agreed in writing in advance. We currently serve families in Johor and southern Peninsular Malaysia.

4. User responsibilities

• You agree to provide accurate information during enquiry and session processes.
• You agree to notify us if any participant in a session is under 18, so that appropriate arrangements can be made.
• You agree not to use the Services for any unlawful purpose or in a way that infringes the rights of others.
• You accept that working copies of documents provided to us for the Documentation Programme will be handled in accordance with the scope document and our Privacy Policy.
• You are responsible for ensuring that all family members participating in a session have been informed of and agreed to the scope of the engagement.

5. Intellectual property

The templates, workbook layouts, indexing methodology, and agenda formats developed by Kithward remain our intellectual property. We grant you a non-exclusive, non-transferable licence to use the deliverables produced for your household for personal household purposes. You may not reproduce or distribute Kithward's templates commercially without written permission. Deliverables produced from your own family documents (such as the indexed register or timeline) are your property.

6. Payment terms

• Prices are denominated in Malaysian Ringgit (RM) and include applicable taxes.
• Payment is invoiced at the start of the engagement, prior to the first session.
• Accepted payment methods: bank transfer to our nominated account or such other methods as confirmed in writing.
• Cancellation and rescheduling: Sessions cancelled by the client with more than 48 hours' notice may be rescheduled at no additional charge. Cancellations with less than 48 hours' notice will be charged the full session fee. Multi-session programmes may be paused with notice; timeline adjustments will be agreed in writing.
• Refunds: If we are unable to deliver a session due to our own scheduling constraints, a full refund or credit will be offered. Refunds after sessions have been delivered are not available except where we have materially failed to deliver the scope agreed in writing.

7. Service-specific terms

All Services:

• The scope of each engagement is fixed by the scope document agreed before the first session. Changes to scope require written agreement from both parties.
• Kithward does not provide legal advice, financial advice, clinical assessment, or mediation of a formal legal kind. Any question outside the agreed scope will be noted and referred.
• Written records produced from sessions reflect what was discussed and what was agreed. They are not legally binding documents and have no formal legal standing.

Family Documentation Programme:

• Documents provided for indexing are your property throughout. We do not file, submit, or communicate them to any authority or third party without your written consent.
• Working copies are returned or securely deleted at programme close.

8. Disclaimers

Our services are provided as facilitation, coordination, and clerical support. We make no representation that participation will produce any particular legal, financial, or personal outcome. The written records and deliverables we produce are tools for your use — their effectiveness depends on how your household chooses to apply them. Nothing in our communications constitutes professional advice of any kind.

9. Limitation of liability

To the extent permitted by Malaysian law:

• Our total liability to you in connection with any engagement will not exceed the fees paid for that specific engagement.
• We will not be liable for indirect, consequential, or special losses, including losses arising from decisions made using our deliverables.
• We will not be liable for delays or non-performance caused by circumstances beyond our reasonable control (force majeure), including public health emergencies, natural disasters, or infrastructure failures.

10. Indemnification

You agree to indemnify Kithward against any claims, losses, or costs arising from your misuse of our deliverables, your provision of false or misleading information during an engagement, or your breach of these Terms.

11. Termination

Either party may terminate a multi-session engagement by written notice. If you terminate a multi-session programme after one or more sessions have been delivered, you will be charged for the sessions completed on a pro-rata basis calculated against the full programme fee. If we terminate due to a breach of these Terms by you, no refund will be issued for sessions already delivered. Clauses relating to intellectual property, limitation of liability, and dispute resolution survive termination.

12. Dispute resolution

These Terms are governed by the laws of Malaysia. Any dispute arising from an engagement will first be referred to informal negotiation between the parties, with a minimum period of 30 days to reach resolution. If not resolved, disputes will be submitted to the jurisdiction of the courts of Johor Bahru, Johor, Malaysia. Nothing prevents either party from seeking urgent injunctive relief.

13. General provisions

• Entire agreement: These Terms and the scope document for your engagement constitute the entire agreement between us.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent.
• Notices: Formal notices should be sent to [email protected] or to our postal address.

14. Changes to these Terms

We may revise these Terms from time to time. The current version will always be posted on this page with a revised date. For active engagements, material changes will be notified by email. Continued engagement with our services after revised Terms have been posted constitutes acceptance.
